Heraklion Chamber of Commerce Urges Member Companies to Resolve Pending Issues with GEMI

The Heraklion Chamber of Commerce informs its members that, in accordance with Article 50 of Law 4919/2022, Joint Ministerial Decision (JMD) No. 46982 (Government Gazette 3542/B/8-7-2025) has been published under the title:
“Establishment of criteria for the imposition and amount of administrative penalties under Article 50 of Law 4919/2022 for non-compliant entities required to register with the General Commercial Registry (GEMI), and other related matters.”

This JMD comes into effect on January 1, 2026, and outlines the criteria and amount of fines imposed on non-compliant legal entities required to be registered in GEMI, particularly regarding the observance of commercial publicity rules. It does not apply to sole proprietorships, but to companies that fall under the registration obligations defined in Article 16 of Law 4919/2022.

Types of Violations
Fines will be imposed for violations both during company formation and during ongoing operations, including but not limited to:

Incorrect application of rules during company formation via the e-YMS platform

Omission, late, unlawful, or incorrect filing of registration applications to GEMI

Failure to comply with automatic reservation rules for company name and trade name

Failure to include mandatory company information on official documents

Penalty Ranges
Fines will vary depending on the type of violation, legal entity form, and company size, and will range from €100 to €10,000 for companies registered with Chamber GEMI services.

Why Compliance Matters
Timely and accurate GEMI updates are critically important for businesses, as GEMI is interconnected with multiple national and European information systems and provides essential data to other registries. This data must be accurate, lawful, and up to date.

Call to Action: Deadline 31/12/2025
In light of the above, the Heraklion Chamber of Commerce invites all obligated entities to cooperate with the Chamber’s GEMI Service from now until December 31, 2025, in order to resolve any pending issues without incurring administrative penalties. Specifically, businesses are encouraged to:

Register with GEMI if they are legally obligated to do so under Article 16 of Law 4919/2022 and haven’t yet done so

Complete any pending registrations that could lead to fines if left unresolved

Submit overdue entries that are currently blocking other registrations

Request corrections of errors made during formation via e-YMS, automatic entries, or name/trade name reservations

All pending actions must be completed by December 31, 2025.
